The registered shares (nominal value CHF 100) and the participation certificates (nominal value CHF 10) are both traded on SIX Swiss Exchange. The registered shares have voting rights, the participation certificates have no voting rights (and can thus not participate at the Annual General Meeting).
Share Capital: The total capital as per June 12, 2025 is CHF 23,008,490, split into 133,905 registered shares at par value CHF 100 (a total of CHF 13,390,500) and 961,799 participation certificates at par value CHF 10 (a total of CHF 9,617,990).

Conversion of bearer participation certificates into book-entry securities (Bucheffekten)
Chocoladefabriken Lindt & Sprüngli AG has decided to stop issuing physical dividend vouchers (coupons) on bearer participation certificates. Holders who keep their participation certificates as certificates in physical form e.g. at home or at their bank (e.g. in a safe deposit box or in individual custody) (so-called "Heimverwahrer") are asked to deliver their participation certificates (including remaining coupons and talons, if any) to their bank of choice in order to book their participation certificates into their existing securities account, or one to be opened. For participation certificates which are not held as book-entry security, any future dividends on participation certificates will not automatically be serviced through the banking system, but only according to the applicable requirements of Swiss securities law. Holders of participation certificates which are held in physical form should be aware that dividends which are not claimed within five years will definitely be allocated to the company.
Holders who already keep their participation certificates in a securities account with their deposit bank are not affected by the change and need not act.

Chocoladefabriken Lindt & Sprüngli AG hat entschieden, keine neuen Couponbogen für Inhaberpartizipationsscheine mehr auszugeben. Inhaber von Partizipationsscheinen, die ihre Partizipationsscheine als Zertifikate in physischer Form z.B. zu Hause oder bei einer Bank (z.B. in einem Schrankfach oder in Einzelverwahrung) (sog. Heimverwahrer) verwahren, werden gebeten, ihre Partizipationsscheine (einschliesslich allfällig verbleibender Coupons und Talons) bei der Bank ihrer Wahl einzuliefern, um die Partizipationsscheine in ihr bestehendes oder ein zu eröffnendes Depot einzubuchen. Sofern in physischer Form gehaltene Partizipationsscheine nicht als Bucheffekten gehalten werden, werden zukünftige Dividenden auf Partizipationsscheine nicht automatisch über das Bankensystem bedient, sondern nur gemäss den anwendbaren Anforderungen des schweizerischen Wertschriftenrechts. Inhaber von Partizipationsscheinen, die in physischer Form gehalten werden, sollten sich bewusst sein, dass Dividenden, die nicht innerhalb von fünf Jahren bezogen werden, endgültig der Gesellschaft zufallen.
Inhaber von Partizipationsscheinen, die ihre Partizipationsscheine bereits in einem Depot bei ihrer Depotbank verwahren, sind nicht betroffen.
