Lindt & Sprüngli announces buyback program for registered shares and participation certificates 

Kilchberg, March 6th, 2018, The Board of Directors of Chocoladefabriken Lindt & Sprüngli AG decided to execute a buyback program for Lindt & Sprüngli registered shares and participation certificates (PC’s) in the amount of CHF 500 million. The repurchase started on March 12th, 2018 and lasts until July 31st, 2019. For the buyback, a separate trading line for each of the registered shares and PC's will be opened on SIX Swiss Exchange AG in accordance with the International Reporting Standard. The buyback is based on the high liquidity, solid balance sheet of Lindt & Sprüngli and for the purpose of a capital reduction. The repurchased shares and PC’s will be destroyed. The ordinary trading of registered shares and PC’s is not affected by this measure and is carried normally. The Board of Directors also intends to maintain its existing dividend policy.

The maximum buy-back volume per day in accordance with art. 55 b para. 1 lit c SESTO is 37 for registered shares and 654 for participation certificates.

The buyback is carried out on a second trading line on SIX Swiss Exchange with Lindt & Sprüngli as the exclusive buyer on this trading line as follows:

Swiss withholding tax

A holder wishing to sell Lindt & Sprüngli registered shares or participation certificates has the option of selling on either the ordinary trading line or on the second trading line. Registered shares and participation certificates repurchased on the second trading line are subject to Swiss withholding tax of 35% on the difference between the repurchase price of the Lindt & Sprüngli registered share and participation certificate, respectively, and their nominal values (CHF 100 per registered share and CHF 10 per participation certificate). The Swiss withholding tax can be reclaimed by qualified investors.
